Articles of Association

The Mount Washington Homeowners Alliance is a California non-profit, taxable unincorporated association. When the forming board of the Alliance signed the Articles of Association in spring of 2001, the Alliance was born in the eyes of California law. The Articles of Association describe the organization's non-profit and taxable status. Additionally, the organizational purposes originally set forth in the Articles of Association, informed the later adoption of the Alliance's Mission Statement. The Articles are available in the download section of this website.

Bylaws

The Bylaws of the MWHA contain many typical provisions of a homeowners or community association. There are provisions governing meetings, notices, board structure, committee, financial accountability, and dedication to non-profit purposes. But there are a number of unique provisions intended to assure that the leadership of the MWHA works for the public interest and not private, special interests. Those bylaw provisions protect the community. These special provisions include:

  • An open process for the appointment of the Nominating Committee
  • The conduct of elections solely by mail to assure wider rights of participation by ALL members of the Alliance (not just an organized minority who may attend a general membership meeting) and to allow the community time to educate themselves about contested elections
  • A requirement that annual dues are renewed in conjunction with the vote for the Board in the coming year
  • A Code of Ethical Conduct that bars anyone from serving in a position of influence in the Alliance when at the same time they or someone linked to them is seeking any kind of a discretionary land use permit from the local government
  • A requirement that each new member of the Board of Directors sign an affirmation that they have no conflicts of interest under the Code of Ethical Conduct
  • An absolute right of any member to video tape or audio tape the meetings of the Alliance in order to document actions taken by anyone at meetings
  • A disqualification of general members from voting on a matter related to a development project if they have a conflicting interest in the matter

These necessary provisions assure members that they will not face the problems the community encountered before the Alliance was created. Nothing is more important that having a Board of Directors and Committee Chairs conducting the affairs of the Alliance without conflicting interests. As Thomas Paine said, "We have it in our power to begin the world over again." The bylaws are available in the download section.
